By creating an account or using Agufy, you agree to these Terms of Service. These Terms are intended for business customers (companies, professionals, self-employed individuals) acting in a professional capacity. If you accept on behalf of an organisation, you confirm you have the authority to bind it to these terms. If you are an individual consumer, mandatory consumer protection laws of your jurisdiction will apply to the extent required by law. If you do not agree, please do not use the Service.
Agufy is a cloud-based cleaning management platform for hospitality properties. It integrates with third-party booking systems (such as Beds24) to synchronise booking data and manage cleaning tasks, assignments, and reports. The Service is provided "as is" and may be updated, modified, or discontinued at any time.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information when creating an account. The account administrator is responsible for managing user access within their property, including creating and removing user accounts.
You agree to use Agufy only for its intended purpose of managing cleaning operations. You may not: (a) attempt to reverse-engineer, modify, or create derivative works of the Service; (b) use the Service to store or transmit malicious code; (c) interfere with the operation of the Service or other users' access; (d) use the Service for any unlawful purpose; or (e) share your credentials with unauthorised individuals.
Paid plans are billed monthly via Stripe. Your subscription auto-renews unless cancelled before the end of the billing period. You may cancel at any time from Admin → Subscription; cancellation takes effect at the end of the current period and no partial refunds are issued. If payment fails, access may be restricted until the balance is resolved. We reserve the right to change pricing with 30 days' notice.
Agufy and its original content, features, and functionality are owned by Agufy and protected by applicable intellectual property laws. Your data remains yours. We claim no ownership over any content you upload or data generated by your use of the Service.
Data usage within the Service is governed by our Privacy Policy. You are responsible for ensuring your use of Agufy complies with applicable data protection laws, including obtaining any necessary consent from individuals whose data you process through the Service (such as guest names from booking systems). Where Agufy processes personal data on your behalf, it does so as a data processor under the General Data Protection Regulation (GDPR). The terms governing such processing are set out in our Data Processing Agreement (DPA), which forms an integral part of these Terms.
To the maximum extent permitted by law, Agufy and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law. The limitations in this section do not apply to claims arising from Agufy's material breach of its data processing obligations.
You agree to indemnify and hold harmless Agufy and its operators from any claims, damages, or expenses arising from: (a) your violation of these Terms; (b) your use of the Service in a manner not authorised by these Terms; or (c) your breach of applicable law. This indemnification obligation does not apply to the extent that a claim arises from Agufy's own breach of these Terms or applicable law.
Agufy aims to provide reliable access to the Service but does not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice where possible. No Service Level Agreement (SLA) applies unless expressly agreed in a separate written agreement.
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, power outages, internet service failures, acts of government, or failure of third-party services. The affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact.
We may suspend or terminate your access if you violate these terms, fail to pay fees, or if we reasonably believe your use may harm the Service or other users. You may terminate your account at any time by cancelling your subscription and contacting us to request data deletion.
We may update these Terms of Service from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Agufy may assign its rights and obligations without restriction.
Entire Agreement. These Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Agufy regarding the Service, and supersede all prior agreements and understandings.
No Waiver. The failure of either party to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Survival. Sections relating to intellectual property, limitation of liability, indemnification, data processing obligations, and governing law shall survive termination of these Terms.
These Terms are governed by the laws of Spain. Any disputes arising from or relating to these Terms shall be submitted to the courts of Barcelona, Spain. Where applicable mandatory consumer protection laws grant you the right to bring proceedings in your local courts, that right remains unaffected.
